Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Dakota County, Minnesota for the purpose of litigating all such claims or disputes.
Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Minnesota before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between Titus Contracting and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
Waiver
No waiver by Titus Contracting of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Titus Contracting to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by Titus Contracting on the Site, shall constitute the entire agreement between you and Titus Contracting concerning the Site. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Titus Contracting with respect to the Site.
